Dear student,

Statement in lieu of prospectus contains the name of the company, details of its directors, minimum subscription, a statement of capital, material contracts, etc. If a public company wants to raise capital privately then in that case, it need to file a statement in lieu of prospectus to Registrar of Company, three days prior to the allotment.
