Meristematic cells have a prominent nucleus and dense cytoplasm but they lack vacuole.

Meristematic tissues function is to undergo mitosis for which there is a prominent nucleus and produce new cells and they are not that metabolically active to generate food for which food and thus storage organelle like vacuoles are not required. Once the cell differentiates to loose meristematic activity it develops vacuole.
