No its won't be a true statement for defining PE since PE is the energy possessed by a body by virtue of its position & deformed shape is called potential energy.

ex:-1. the energy possessed by stored water in a dam is due to its position.

2. a stretched or a compressed spring has its energy due to its shape.

And mass plays an important role in almost every form of energy but there are other factors involved too .
