Section 2(24) of Companies Act, 1956 talks about “company secretary” or “secretary” means a company secretary as defined in clause (c) of sub-section (1) of section 2 of the Company Secretaries Act, 1980 who is appointed by a company to perform the functions of a company secretary under this Act;
The Company Secretary has the following rights:
To supervise and control the secretarial department
Empowered to perform several acts laid down by the Companies Act, IT Act, Stamps Act and others
To sign on official documents of the company
To issue share certificate
To be indemnified for any loss suffered in discharging one's duties
