Explain the rights of a company Secretary.

Section 2(24) of Companies Act, 1956 talks about “company secretary” or “secretary” means a company secretary as defined in clause (c) of sub-section (1) of section 2 of the Company Secretaries Act, 1980 who is appointed by a company to perform the functions of a company secretary under this Act;
The Company Secretary has the following rights:
  • To supervise and control the secretarial department
  • Empowered to perform several acts laid down by the Companies Act, IT Act, Stamps Act and others
  • To sign on official documents of the company
  • To issue share certificate
  • To be indemnified for any loss suffered in discharging one's duties
