When the member is not in a position to attend the meeting personally, he can appoint his representative.This representative is called as proxy. Proxy can attend meeting and vote.

The term has two meaning :

1. Proxy is a person appointed to attend and vote at a meeting.

2. Proxy is an instrument by which the appointment of a person is made i.e proxy form.
