Resolution requiring Special Notice

It is a special mode of passing a certain resolution. Such a resolution is passed by ordinary majority or special majority as per requirement of the companies act or articles of association of a company.
A mover of the motion has to give a special notice of 14 days to the company.A notice of intention to move the motion shall be given to the company by the proposer for certain important and serious matter. The notice may be given either individually or advertisment in a newspaper having appropriate circulation. The companies act 1956 requires a special notice to be given in respect of the following resolution.
  1. Resolution that the retiring auditor shall not to be reappointed (Sec 225)
  2. Resolution seeking to appoint a person as auditor other than retiring auditor (Sec 225)
