Goodwill is equivalent to Seller Proceeds less the net recognizable resources of the acquiring organization. Net recognizable assets are equivalent to recognizable resources less liabilities, which per the bookkeeping condition is equivalent to investors.

Goodwill = seller proceeds – old company’s common equity.
