Voting by ballot :

Postal ballot, as can be deciphered from its name, means voting through post or any electronic mode. The purpose of launching this methodology is to create a culture of ‘corporate democracy’, and to facilitate the shareholders to cast their votes without making their presence in the general meeting.

Voting by poll : A procedure used at a general meeting of acompany underwhich every ordinary shareholder present in person or by proxy has onevotefor every ordinary share held. This procedure is commonly used where it is not possible to obtain a clear result byvotingon a show of hands.
