Voting by show of hands refers to voting that is cast for any resolution where the members use their hands to vote for or against the resolution and proxies cannot vote in such a case whereas voting by poll refers to a system where polling paper is distributed among the members present at the meeting, in person or by proxy, to have the voting right in the poll in proportion of the number of shares held by each of them.
